General Terms and Conditions

 

Scope of application

The General Terms and Conditions of Lyreco Switzerland AG (hereinafter

«Lyreco») apply to all deliveries of services and products by Lyreco. These terms and conditions are deemed to have been accepted when the goods or services are ordered. Lyreco's offer is limited to the territory of Switzerland and the Principality of Liechtenstein.

Any terms and conditions of the Customer that conflict with or deviate from Lyreco's General Terms and Conditions shall only be recognised if Lyreco expressly agrees to them in writing.

Lyreco reserves the right to amend these General Terms and Conditions at any time. The version of these General Terms and Conditions in force at the time of the order is decisive and cannot be unilaterally amended for this order.

The current and binding version of the General Terms and Conditions is published at www.lyreco.ch or can be obtained from Lyreco.

 

Registration

Every order requires prior registration as a customer. Multiple registration under different names or addresses is not permitted. Upon successful completion of the registration process, the customer is authorised to access the system. The authorisation can be revoked at any time. In this case, Lyreco is authorised to immediately block and delete the username and the corresponding password.

 

Home delivery

The following special conditions, which deviate from Lyreco's general terms and conditions of sale, apply to all delivery services offered by Lyreco to the home address. Delivery to the home address(es) of the Customer's employee(s) is possible for all products that are usually available to the Customer. The individual purchase contract is concluded between the Customer and Lyreco. Lyreco reserves the right to refuse any order of products, in particular due to excessive quantities or volumes.

In the case of delivery to a residential address, delivery times may differ from the usual Lyreco delivery times and will also be communicated to the customer's employee when the order is placed. The customer's employee(s) placing the order(s) to be delivered to the home address order(s) to be delivered home must be present at home on the day of delivery by Lyreco to receive the products. In the absence of the Customer's employee(s), Lyreco is free to charge additional transport costs to make a new delivery to the defaulting Customer's employee or to cancel the order. Some geographical areas are excluded from the home delivery offer, e.g., areas that can only be reached by boat, train and/or cable car. In this case, Lyreco is entitled to refuse any order. Returns of products delivered to the home address must be returned at the customer's expense if they were delivered by a third party and not by a Lyreco chauffeur. The billing and payment terms are the same as those applicable to the customer for all other regular orders unless other terms have been agreed or confirmed by Lyreco. All other terms and conditions of Lyreco's general terms and conditions of sale, which are neither amended nor supplemented by this section, shall continue to apply between Lyreco and the Customer.

 

Private customer / consumer

The above paragraph applies in the same way to orders of a product for personal or private use by private customers / consumers with the following exception and addition: the contracting parties are the private customer / consumer and Lyreco and Lyreco decides on the product selection. The prices in Lyreco's web shop are exclusive of value added tax (VAT), unless otherwise stated and Lyreco decides on the terms of payment. VAT will be charged to the private customer / consumer on the invoice.

 

Conclusion of contract

The products and prices in the web shop are non-binding offers. However, this offer is always subject to the condition, which cancels the contract, of an inability to deliver or an incorrect price quotation. The purchase contract for Lyreco products or services is concluded as soon as the customer places an order in the web shop, by telephone or e-mail (hereinafter referred to as the «purchase contract»). By clicking on the «Confirm order» button, the customer places a binding order for the products in the shopping basket. The delivery of the ordered goods with advance payment takes place as soon as Lyreco has received payment of the full purchase price and any shipping cost has been received. Any order confirmation does not contain a promise that the product can actually be delivered. It merely indicates to the customer that the order placed has been received by the web shop and that the contract with Lyreco has therefore been concluded subject to availability and correct pricing. However, a purchase contract for the products is only concluded when Lyreco expressly declares acceptance of the purchase offer (confirmation of acceptance) or when the products - without prior express declaration of acceptance - are dispatched to the Customer. The conclusion of the contract is documented and stored by Lyreco. After conclusion of the contract, the text of the contract is not stored by us and is therefore not accessible to the customer.

 

Product range and scope of delivery

The products in Lyreco's range are generally delivered immediately from stock or directly from a contractual partner. If an item is missing, the products are automatically registered as backorders and delivered immediately after receipt of the goods (except for fresh products).

Lyreco reserves the right to supply equivalent replacement items. Lyreco is not liable for delays in delivery caused by manufacturers or other third parties. Lyreco products are not intended for resale or export. Therefore, the customer is not permitted to resell the products. Any export is at the customer's own risk and expense.

 

Force majeure

Lyreco shall not be responsible for delays in delivery and performance due to force majeure or events which make deliveries or performance impossible for Lyreco in whole or in part - in particular strikes, official orders, natural disasters, epidemics, etc. - even if they occur at Lyreco's suppliers - shall not be the responsibility of Lyreco even in the case of bindingly agreed deadlines and dates. They shall entitle Lyreco to postpone the delivery or service for the duration of the hindrance plus a reasonable start-up time or to withdraw from the contract in whole or in part.

 

Technical data

Lyreco is not the manufacturer of the products offered. All technical information, data and dimensions are based on the information provided by the respective manufacturers and do not constitute a guarantee by Lyreco for specific properties. No liability is accepted for any errors in information or transmission. This applies in particular to any resulting consequential damage and costs.

 

Terms and conditions

These General Terms and Conditions shall apply exclusively to business transactions between Lyreco and the Customer. They shall in any case take precedence over any other conditions and provisions sent by the Customer or contained in the Customer's documents.

 

Prices

All prices are quoted in CHF excluding value added tax. Any fees (for example Copyright fees (SUISA), advance recycling fees (vRG) etc.) are included in the prices.

Prices are kept as stable as possible but can be adjusted upwards or downwards depending on the market situation. Lyreco's Customer Service is always happy to provide customers with information on current prices, special prices for larger quantities or customised products. In our web shop on www.lyreco.ch the current daily prices are listed.

Lyreco only accepts the payment methods displayed to the customer during the order process.

 

Delivery

Lyreco endeavours to deliver orders received by 5 p.m. the next day via a delivery service (Lyreco itself or a third party). However, it may happen that delivery takes a little longer, for example (but not limited to) in the event of a very high volume of orders, for optimal logistics utilisation or due to unexpected interruptions in the supply chain.

For orders over CHF 50, delivery is free of charge. For orders under CHF 50, shipping costs of CHF 6 will be charged for postage and packaging.

Express deliveries are always handled by post and are subject to a surcharge of CHF 30.

Deliveries abroad are invoiced and packaged at cost price. Postage shall be borne by the recipient. Lyreco reserves the right to accept orders from new and existing customers only against credit card payment.

 

(Invoice basis excluding value added tax)

Lyreco reserves the right to obtain creditworthiness information from customers in advance of delivery and, in individual cases, to deliver to them only against advance payment. In addition, payment histories may be passed on to third parties.

 

Invoicing

Lyreco sends its invoices by e-mail in .pdf format. The detailed conditions for this service are set out in the separate terms and conditions «Sending of invoices by e-mail in .pdf format regulated, which available to customers at www.lyreco.ch. If the invoice recipient wishes to receive paper invoices, they can request this at any time via the responsible sales representative, the Customer Service of Lyreco Switzerland AG (0800 484 484) or by e-mail to bestellungen.ch@lyreco.com.

 

Payment

Lyreco's invoices are payable net within 30 days of the invoice date. In the event of non-compliance with this payment deadline, Lyreco shall be entitled to charge default interest of 7%.

The customer shall only be entitled to set-off if and to the extent that his counterclaims have been legally established, undisputed or are recognised. The customer is only authorised to exercise a right of retention if his counterclaim is based on the same contract.

Vouchers can only be redeemed under the conditions indicated on the voucher and exclusively for the product groups specified on the voucher. It is not permitted to sell vouchers or voucher codes, to trade them in any way or to offset vouchers or voucher codes purchased or auctioned by third parties against purchases without prior written consent. When paying by voucher, any remaining credit can be redeemed at a later date as long as the voucher is still valid. The credit balance of a voucher cannot be paid out.

Lyreco reserves the right to exclude customers from individual payment options or insist on payment in advance.

 

Special offers and promotions

Discounts may be granted on special offers and promotions. Special offers and promotions are valid for as long as the offers are limited in time and/or while stocks last. Lyreco reserves the right to stop special offers or promotions without notice, even before the published expiry date. No retrospective granting of the discount can be claimed. In addition, the conditions of special offers and promotions cannot be granted retroactively to products that have already been ordered.

Lyreco reserves the right to replace promotional products with another product of equal or better quality. Lyreco has made every effort to ensure that prices and descriptions are correct at the time of publication of the promotion. However, errors and omissions excepted.

 

Retention of title

The delivered goods remain the property of Lyreco until the invoice amount has been paid in full.

 

Guarantee

The legal Warranty periods shall apply if the parties expressly agree this in the contract or if a private customer/consumer procures an item for personal or family use.

 

Guarantee

The warranty period is noted in the product documentation which can be found in the Lyreco catalogue or in the web shop (www.lyreco.ch). It starts from the invoice date. The invoice is valid as a warranty certificate. In the event of a warranty claim, the defective material must be sent or delivered to Lyreco together with a copy of the invoice. Excluded from the warranty are damages resulting from modifications or repairs carried out by the customer, force majeure, disregard of the operating instructions, wilful damage, and the replacement of wearing parts due to wear and tear on machines or devices. There is no entitlement to replacement products or replacement devices during the warranty clarification period with the manufacturer, particularly in the case of machines and electronic devices. Under no circumstances shall Lyreco be liable for loss of sales or other financial losses due to a breakdown of a machine or device that is used for a commercial purpose. In such cases, the operator must take out appropriate business interruption insurance.

 

Electronic devices

Handling of «electronic devices» that we do not carry in our catalogue or product range:

Lyreco has set itself the goal of only selling electronic devices for which a professional service can also be provided. This service cannot be provided for electronic devices that are not in Lyreco's product range. Lyreco therefore does not procure any devices outside the catalogue range.

 

Food and drink

Food and drink products cannot be ordered for inspection and are excluded from the right of return.

Any warranty for products whose intrinsic quality (e.g. flavour quality) does not meet the customer's expectations is rejected by Lyreco. Fresh products that have spoilt due to late receipt by the customer or whose best-before date has expired due to the same circumstance will not be refunded.

If fresh products are not available at the time of delivery, they will not be forwarded, nor will replacement items be delivered. The quantity actually delivered will be stated on the definitive delivery note and on the invoice.

 

Repair service

Lyreco coordinates the repair of all products used in the office sector. For this a processing fee of CHF 30 will be charged in addition to the actual repair costs. The flat rate also applies if a cost estimate is prepared for the repair or if instead of a new product must be delivered in the event of a repair. The shipping costs listed above apply to the delivery.

 

Complaints and returns

Complaints and corresponding returns must be made within 14 days from the date of the delivery note, otherwise the delivery shall be deemed accepted.

A return, replacement or complaint must be reported to the toll-free number 0800 484 484. Lyreco will immediately issue a credit note or an exchange order. The goods will be collected or exchanged by a Lyreco chauffeur within the next few days.

The following conditions apply:

·        All material must be returned in mint condition and in perfect condition, unopened original packaging.

·        All products must be complete and functional.

·        A copy of the delivery note must be enclosed with the return delivery. The products returned for return or complaint must be clearly labelled on it.

If these conditions are not met, a deduction of at least 20% will be made from the credit note. Products delivered after goods that are returned within 30 days of the delivery note date can no longer be taken back or credit notes can no longer be issued for them.

Excluded from the right of return are items specially procured at the customer's request non-stock items, non-assortment items, procurement articles, customised products, and office equipment, already assembled office furniture, lamps and office equipment, all food and drink items, sprays, agendas for the current calendar year and, after 31 October, agendas for the following year. Cancellations of open orders cannot be accepted for non- non-assortment items and customised products.

 

Utilisation of the Internet services and new media

Lyreco does not guarantee its accuracy, completeness and availability of the data in the web shop or on the electronic catalogues that can be used in the customer's own networks. Lyreco accepts no liability for incorrect data on Lyreco's Internet pages, for confidentiality and errors in the transport of data and content on the Internet or for damage or consequential damage incurred by the user or third parties as a result of transactions carried out via the Internet.

 

Call recording

The customer hereby expressly agrees that calls made by him and received by Lyreco incoming calls for training purposes on data carriers can be recorded and the marginal data (calling number, duration) of the relevant telephone connections are recorded and stored. Lyreco will only use the recordings and marginal data for the aforementioned purpose.

 

Data protection

Lyreco processes the personal data entrusted to it in compliance with the applicable data protection regulations. This includes in particular the lawfulness of processing, processing in good faith and transparency, purpose limitation, data minimisation, the accuracy of the processing, storage limitation and erasure as well as the integrity and confidentiality of the personal data. Lyreco has imposed these obligations on all persons authorised by it to perform the contract. This also applies to any processing by third parties that is carried out exclusively in compliance with the applicable data protection provisions. Regarding the information obligations under Swiss data protection legislation and the EU Data Protection Regulation and for further information in general on the handling of personal data, Lyreco refers to its privacy policy. Copyright

The entire content of www.lyreco.ch is protected by copyright. The downloading and printing of individual pages or parts thereof is permitted, provided that neither copyright notices nor other legally protected designations are removed. All property rights remain in any case with Lyreco. The complete or partial reproduction, electronic or conventional transmission, modification, linking or use of this website for public or commercial purposes is prohibited without the prior written consent of Lyreco. We reserve the right to further third-party property rights.

 

NESPRESSO coffee machines

Lyreco assumes the manufacturer's warranty in accordance with the provisions contained in the original packaging. This warranty does not apply to defects resulting from improper use, non-compliance with the product instructions, limescale deposits, improper or inadequate maintenance, normal wear and tear, use with a different current or voltage than indicated on the product and unauthorised product modification. Fire or other natural hazards are excluded from the warranty.

The warranty for NESPRESSO machines in Switzerland is two years from the date of purchase (spare parts and labour). The full performance and service life of the NESPRESSO machine is only guaranteed if NESPRESSO capsules are used. Lyreco accepts no liability for technical problems and defects caused using non-original NESPRESSO capsules.

 

Service / Repairs NESPRESSO coffee machines / Kärcher water dispensers

Lyreco offers, in the sales area agreed with NESPRESSO or Kärcher, service contracts/agreements with on-site service for selected appliance types. If this is not possible, the customer will be offered an appropriate alternative solution. Regular descaling, improper handling of the machines, Damage due to the use of third-party (non-Nespresso) coffee capsules, modifications/maintenance carried out by third parties/non-experts, wilful damage and damage caused by force majeure are excluded from any warranty. The safety instructions in the operating instructions enclosed with the machines apply.

Upon request, the customer will be provided with a cost estimate for repairs and invoiced accordingly. This amount will be credited when the repair order is placed, or the machine is exchanged with Lyreco. The warranty period for spare parts for repairs is 12 months.

 

Data transmission by Coffee machines and vending machines

Coffee machines and catering machines can be equipped with M2M (Machine to Machine) technology. The customer declares agrees that Lyreco may activate this. As a result, the following data registered, stored and to Lyreco: Serial number, error messages, machine parameters (water hardness, coffee temperature etc.), number of cups/products purchased, their size and type, water flow rate, descaling cycles, and technical faults.

The data is used for the following purposes used: Maintenance analyses, technical remote diagnostics, order recommendations, automatic coffee management (on request). This consent can be revoked at any time by writing to Lyreco Switzerland AG, Riedstrasse 4, 8953 Dietikon.

 

Alcohol sales

In accordance with federal and cantonal legislation, the alcoholic beverages available in the Lyreco catalogue and web shop may not be sold or supplied to young people under the age of 16 or, in Ticino, to young people under the age of 18, and spirits may generally not be sold or supplied to young people under the age of 18. By accepting these General Terms and Conditions the customer confirms that he fulfils the legal requirements and is over 16 or 18 years of age. A delivery that contains alcoholic beverages or spirits, will only be handed over to persons over the age of 16 or 18 in accordance with the applicable legal provisions. In case of doubt, the supplier may verify the age by means of an official identity document and refuse to hand over the goods to a person who has not yet reached the relevant age limit or cannot identify himself accordingly, under the responsibility of the customer.

 

Disclaimer

Lyreco is only liable for gross negligence and intent. In no event shall it be liable for indirect or consequential damages, but not limited to damages resulting from loss of business, additional personnel costs, loss of sales or other consequential financial losses.

Notwithstanding the provisions of the General Terms and Conditions of Lyreco, the Customer shall indemnify Lyreco against any liability arising from a breach of the provisions of these terms and conditions directly or indirectly caused by a pandemic situation (as defined by the WHO) including but not limited to COVID- 19, by a government decision restricting freedom of movement, or by any related or resulting event.

 

Place of jurisdiction

Lyreco's business activities are based exclusively on Swiss law, excluding the conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The place of fulfilment is Zurich. The place of jurisdiction is Zurich. Lyreco may also choose to sue the defendant at its registered office or domicile.

In the event of a contradiction, the German version of the General Terms and Conditions shall take precedence over the other language versions.
