The following general terms and conditions of sale (hereinafter, the "General Conditions of Sale") apply to all orders sent to Lyreco Italia S.r.l. ("Lyreco") by professional Customers (B2B) starting from 13 February 2025 and prevail over any other indication that may be contained on the orders sent by the Customer; unless otherwise agreed in writing or specific conditions of sale for certain categories of products. The obligations that will arise between Lyreco and its Customers will therefore be mainly governed by these General Conditions of Sale and by art. 1470 et seq. of the Italian Civil Code. To find out the updated and current version of the General Conditions of Sale, please consult the relevant dedicated page on the www.lyreco.it website; the conditions published therein will in any case always prevail.

 

Instructions

Orders for products by Customers are always to be considered irrevocable and can be transmitted to Lyreco by:

Lyreco may use third party suppliers, contractors and/or subcontractors to whom it may entrust all or part of the supply of products and services. Orders for products in the catalogue by Customers will be deemed accepted by Lyreco if the Customers do not receive notice to the contrary prior to delivery. The offer of products is within the limit of the available stock. Some products may not be available temporarily, based on the existing stock at the time of selection. In any event, Lyreco shall remain free to accept or reject orders at its sole discretion.   It is understood that, in the event that there are unpaid invoices from the Customer, Lyreco reserves the right to (i) refuse the order, or (ii) accept the same upon advance payment (partial or total).
The Customer is invited to carefully read these General Conditions of Sale and the privacy policy before submitting a purchase order. The Customer is invited to read, save and keep these Terms of Sale in order to be able to consult them at a later time. By submitting a purchase order by the Client, these Terms of Sale are deemed to be known and accepted by the latter. By placing a purchase order, the Client warrants that it is acting as a professional client in the context of a commercial activity and that the products are purchased for internal use only.

 

Order Integrations

Once the order for the products has been received by Lyreco, it is considered final and the relevant products are immediately prepared for shipment; Any integrations will be handled with the creation of a new product order.
All orders and contract documents will be stored by Lyreco in its systems. You can access the documents related to your order by logging into the webshop. Prices

The prices of the products are drawn up according to the Lyreco price list in force at the time of the order itself; they are net of VAT and any other applicable tax and do not include transport costs. Any contributions and charges (including the CONAI environmental contribution) may be displayed on the price indicated in the webshop or be applied during the invoicing phase, in accordance with the applicable regulations. Lyreco reserves the right to modify the aforementioned price list at any time and without notice. To find out the price reserved for him/her of the products, updated to the latest quotations, the Customer can connect to the www.lyreco.it site and type in his/her login and password. Products

Lyreco reserves the right to change the technical characteristics of its brand products at any time and without notice, in full compliance with the laws in force on safety. In the event of a lack of stock of some products ordered, Lyreco may replace them with other products having the same functionality and equal or superior quality, except for unavailability or force majeure. The colour reproduction of the products in the catalogue or online is to be understood as indicative, since the exact fidelity to the original cannot be guaranteed during printing or on the display.
The Customer must refer to the information relating to the product (e.g., safety data sheets, manufacturer's instructions for use, etc.) that can be viewed on the www.lyreco.it website, on the manufacturer's website, on the packaging and/or on the documentation attached to the product, before any order or use of the product itself, in order to be able to know the characteristics of the product for its intended use. The descriptions, information and characteristics of the products reported online or in Lyreco's catalogues have been taken from material provided by third parties, are provided for information purposes only and should not in any case be considered exhaustive with respect to what is indicated by the manufacturer for the purpose of correctly identifying the product suitable for your needs; in order to comply with current regulations and the certifications issued for each individual item, we invite you to check the technical documentation available on the www.lyreco.it website or by requesting it from Customer Care.

The choice of products remains the sole responsibility of the Customer and Lyreco does not guarantee in any case the suitability of the product delivered for the Customer's purpose; the latter is in fact the only one able to establish whether a product is suitable for a particular purpose and is suitable for the use that the Customer intends to make of it and whether the product complies with the requirements dictated by labor regulations.

Products marketed under the Lyreco brand and all other trademarks registered by Lyreco may not be resold to third parties. Legal action will be taken in the event of any infringement or attempted infringement of the intellectual rights of said trademarks.

With regard to the sale of medical or medical-diagnostic devices, it should be noted that all information and content reported online, in paper catalogues, in flyers, newsletters or in any other form, are not of any advertising nature but exclusively informative.

 

Deliveries and Service Levels

Transport cost contribution: For all orders placed by the Customer, the transport risk remains at the expense of Lyreco until the delivery of the products to the latter at the agreed place of destination; a fixed transport cost contribution equal to:

-        €2.50 for deliveries throughout Italy, except Sicily, Sardinia, Calabria and Basilicata;

-        €9.00 for deliveries to Sicily, Sardinia, Calabria and Basilicata.

The aforementioned contributions will be applied regardless of the amount of the order itself, unless otherwise agreed or specific categories of products.
For the delivery of some product families expressly indicated on www.lyreco.it on the page dedicated to the product itself (e.g. furniture section products, water, A3 printers and large safes or if you want to provide the assembly/installation service), as well as for some specific delivery services, specific shipping costs will be applied which will be communicated at the time of the order. Lyreco reserves the right to modify the aforementioned amounts at any time and without notice, as well as to apply an additional contribution to transport costs of up to €7.50 for orders of less than €75 (unless otherwise agreed).

Delivery terms: For all orders relating to catalogue products ready for delivery in the Lyreco warehouse, received by Lyreco by 17:00, delivery will be made the next working day (24 hours), in 72 hours for deliveries to Southern Italy and the Islands.  The aforementioned times will not be applicable in the event of force majeure, unforeseeable events, holidays and holidays, inconvenient delivery locations, reduced time slots, or in the event of different agreements or if the customer selects the so-called "optimized delivery" option on the webshop.
For some categories of products, Lyreco will not guarantee delivery within the terms indicated above, as well as for orders of exceptional volume (equal to or greater than 1 pallet), customized products, stamps, out of catalog and products in the furniture section, cleaning machines, vending machines, extreme sizes for workwear, protective footwear and protective gloves,  plotters, packaging items, services. By appointment: LPS printers, dispenser installation services and assembly services. For more details on the timing and methods of delivery of specific products and for services, consult the webshop in the sections relating to the products and services in question.
In any case, delivery times are indicative and any deviations will not constitute a breach of a contractual obligation and will not give rise to any compensation.

Delivery specifications: Lyreco uses third party partners to deliver products and perform specific services.
In the execution of product deliveries, Lyreco may also use a mobile application that allows the Customers' signature (proof of delivery) to be collected, via device and/or photograph, at the place where it is affixed and to report any anomalies in the delivery of the products; this application provides, in real time, to the various Lyreco offices involved (e.g. logistics, customer care, etc.) all the information relating to delivery, in order to always provide the best service to the Customer. The Customer can view the relevant information on the www.lyreco.it website, as well as access the information held by Lyreco and exercise his rights at any time by writing to the e-mail address IT.privacy@lyreco.com.

  

Home delivery: in addition to the above, the following conditions also apply to deliveries to the homes of the Customer's employees. Delivery to the Customer's employees is possible for all products normally available to the Customer. Lyreco reserves the right to refuse any purchase order for products, in particular due to excessive quantity, volume and/or geographical areas. In the case of home deliveries, delivery times may vary from Lyreco's standard delivery times and will be indicated to the Customer's employee at the time of ordering. The Customer's employees must place orders through the Lyreco webshop, changing the shipping address, and must be present at the indicated place on the day of delivery in order to receive the products. In the event of absence, Lyreco reserves the right to charge additional transport costs in order to proceed with a new delivery attempt to the Customer's defaulting employee. The applicable billing and payment methods are the same as those applicable to the Customer for all other purchase orders, unless otherwise agreed or validated by Lyreco. All other provisions of Lyreco's Terms of Sale, not modified by this section, shall remain enforceable between Lyreco and the Customer.
The Customer authorizes and remains solely responsible for all orders placed by its employees and for the use of their www.lyreco.it access credentials, regardless of the place of delivery.
Home delivery does not imply the application of consumer regulations, which remain excluded in any case.

 

Product control

The Customer (and/or the recipient) is required to check, at the time of delivery and strictly in the presence of the carrier, the integrity of the packages delivered and their number. In the event of a difference in the number of packages or damage to them, the Customer can collect the delivered material, but must sign  the delivery note with reservations, specifying the problem and/or discrepancy found and immediately contacting Lyreco's Customer Care for an immediate solution. Otherwise, Lyreco will not be liable for missing or damaged packages. That said, the control of the goods inside the delivered packages must be carried out by the Customer (and/or the recipient), within 48 hours of delivery, with the obligation to immediately report it exclusively to Customer Care by contacting the toll-free number 800.812.661 or by sending an e-mail to servizio.clienti@lyreco.com. The presence of the transporter is not required for this check, as he is not authorized to collect the products inside the packages.  Otherwise, Lyreco will not be liable for missing items. 

 

Returns

In general, Lyreco accepts returns of undamaged catalog products within 30 days from the date of delivery, subject to agreement with Customer Care. After this deadline, the return will not be authorized. The collection of the return will be free of charge if communicated to Lyreco within 8 days from the date of delivery. For collection requests made after 8 calendar days from the date of delivery, a charge of € 7.50 (excluding VAT) will be applied to the invoice as a contribution to the costs of handling the return procedure, unless different amounts are applied for specific products. Lyreco reserves the right to change the aforementioned amount at any time and without prior notice.
In any case, the products cannot be returned unless they are in perfect condition for sale and in their original packaging, under penalty of non-acceptance of the products by Lyreco and therefore the relevant invoice.
Attention: Returns and order cancellations are not accepted for non-catalog products, stamps and personalized products, as they are ordered expressly and following the Customer's request, as well as some types of products expressly indicated in the Lyreco catalog (online or paper) and for products purchased through financial and/or rental companies, except in the case of defects or defectsLikewise, products that have been assembled and/or installed are not returnable. As far as furniture products are concerned, they can only be returned if they have the original packaging that can be used and have not been assembled. For reasons of hygiene and health protection, returns of products are also not accepted.food, beverages and perishable products, as well as medical devices, personal protective equipment and packaged products for which, once delivered, it is not possible to guarantee the health and safety requirements, except in the case of defects or defects.
Similarly, if the products to be returned were purchased as part of a package or promotional offer, all products included in the offer must be returned, in their original and undamaged packaging. Otherwise, Lyreco reserves the right to charge for extra products that are not returned.
The return document must be made out to the "Centro Distribuzione Lyreco" in Via Maestri del Lavoro, 1 - 29010 Monticelli D'Ongina (PC). It is necessary to contact Lyreco Customer Care or send an email to servizio.clienti@lyreco.com specifying in detail:

  

> the date of purchase;

> the serial number;

> the code(s) of the product(s);

> the quantity of the product(s);

> the reason for the return;

> the name of the person to be referred to;

> the number of packages.

In e-mail requests, please attach a copy of the transport document relating to the delivery made by Lyreco. Upon collection by the Lyreco carrier, the Customer is required to produce the return delivery note. In the absence of the latter, the Lyreco transporter is not authorised to carry out the collection. Pick-up can only be made at the address where the delivery was made.

Invoicing

Orders are invoiced by Lyreco on a monthly basis, with the invoice issued on the last working day of the reference month, unless otherwise agreed. The invoice will be sent pursuant to Law 205/2017 (the so-called 2018 Budget Law), except in specific cases provided for by the legislation (the Customer who falls within these exceptions is invited to contact Customer Care at the address: servizio.clienti@lyreco.com). Any discrepancies between the order and the goods delivered will be settled in full compliance with the conditions set out in the "Product check" section, by means of a credit note. The order amount on the order invoice will not be changed. The verification of the accuracy of the invoice must be carried out by the Customer upon receipt of the same. Any differences must be communicated in writing exclusively to Lyreco's Customer Care, which is the only department competent and authorized to issue a credit note. 

 

Payments

All payments must be made by credit card, advance payment by bank transfer, RIBA 30 days dffm, or by Sepa Direct Debit (called SDD, formerly RID), 30 days after the invoice date at the end of the month. Any exceptions must be agreed and authorized in advance by Lyreco. In compliance with its procedures, Lyreco reserves the right to grant its customers a variable credit depending on the development of the business relationship and to request advances or advance payment of orders. In the event of late payment by the Customer, Lyreco reserves the right to suspend the supply of products and services, without this entitlement to the Customer to claim any damages, and to take appropriate action to collect the credit, including:


> give the mandate for recovery to specialized companies or law firms;

> charge interest pursuant to Legislative Decree 231/2002 and subsequent amendments and additions according to the date of actual payment;

> request compensation for greater damage pursuant to Article 1224 paragraph 2 of the Italian Civil Code, including legal costs incurred;

> change the payment conditions in relation to any future supplies.

  

Any tolerance by Lyreco of non-performance (or incorrect fulfilment) by the Customer of the obligations arising from the contractual relationship may never constitute a precedent, nor in any case affect the validity of the clauses of these Conditions of Sale. The Customer, unless otherwise authorized in writing by Lyreco, may not suspend, for any reason, its payments, not even in the event of the initiation of a dispute by or against Lyreco itself. The Payment Administration Service is available from Monday to Friday, from 9:00 to 13:00 and from 14:00 to 17:00, at 02/95.94.44.49
Please note: Lyreco carriers and sellers are not authorized to collect cash and/or cheque payments.

 

Warranty, assistance and liability

In general, all products are guaranteed for 12 months against any manufacturing defect, unless otherwise stated.

The warranty indicated by the manufacturer inside the package always prevails. For more information on the warranty and assistance of some of the brands and products in the catalogue, please refer to pages 711/715 of the general paper catalogue. The warranty is void in the event of damage caused by improper use, tampering, falling, repair attempts by unauthorized personnel, use of non-original accessories or in general by anything else that demonstrates inadequate use of the product, deterioration caused by, for example: storage conditions, wear, age, abuse, accident, careless use, strong solvents or long exposure to hostile environments. The Customer is, from the moment of delivery, exclusively responsible for conditions that may deteriorate the performance or protection factors of the Products. In any case, all aesthetic parts, those subject to wear and tear and all parts for which it is not possible to verify the appropriate use are expressly excluded from the warranty. In the event of a request for assistance for repair and/or maintenance, Lyreco is not responsible for the waiting times declared by the manufacturers. During this waiting period Lyreco will not provide any replacement products.
Lyreco can never be held liable for indirect or consequential damages, such as financial loss, business interruption, loss of income, etc.
In any case, except in cases of wilful misconduct or gross negligence, Lyreco's liability may never exceed the value of the supply in question.

 

Force majeure

Lyreco shall not be liable to the customer nor shall it be considered to be in breach of any contractual obligations for any delay in performance or in the event of failure to perform any of the obligations due to a force majeure event. Force majeure means an event beyond the control and through no fault or negligence of Lyreco and which it is unable to prevent or combat with reasonable care, such as: natural disasters, expropriation or confiscation, any form of state intervention, war, hostilities, terrorist activity, local or national emergency, sabotage, riots, floods or exceptionally severe weather conditions that could not reasonably have been foreseen or It was not possible to remedy, fire, explosion or other catastrophes, pandemics, health emergencies, national or local strikes or any other concerted action by workers, import or export quotas or embargoes, difficulties in obtaining raw materials, labor, fuel, parts or machinery, or other similar events.
Notwithstanding anything to the contrary, the Customer releases Lyreco from any liability arising from the breach of agreements caused, directly or indirectly, by a pandemic situation (as defined by the WHO), including COVID-19, and any governmental and/or legislative decision restricting freedom of movement, or by any associated or consequential event.

 

Special condition for personalized products

The following special conditions derogate from the general terms and conditions of sale and apply to all orders for personalised products. All other provisions of Lyreco's Terms of Sale, not modified by this section, shall remain applicable between Lyreco and the Customer. Orders placed through specific tools (including the personalizzati.lyreco.it website) will also be subject to any additional conditions contained therein, as well as specific delivery conditions. Lyreco's terms of sale accepted at the time of approval of the final draft and commercial proposal prevail over any other indication that may be contained on the orders sent by the customer.
Once Lyreco has received the order for the products with approval of the final draft and signature of the commercial proposal, the same is considered final and the related products are immediately prepared for customization; any integrations will be handled with the creation of a new product order. In any case, Lyreco will carry out a check on the actual availability of the products to be customized following receipt of the order and final approval of the draft; in the event of scarce availability or unavailability of the products, Lyreco reserves the right to refuse the order or propose alternative solutions to be confirmed by the Customer. Any requests for changes to orders for personalised products must be received by Lyreco within 24 hours; Lyreco reserves the right to accept or reject the proposed changes.

The Customer acknowledges that the customized products may be subject to production/scrap tolerances that will be communicated by Lyreco upon delivery of the same; the Customer will be invoiced for the products actually delivered.
There is also a tolerance on the color and/or size of the finished products with respect to the agreed drafts/samples viewed or between products of the same kind depending on the production batch. Similarly, if products from different suppliers are chosen, the same processing yields are not guaranteed, as they may depend on different color baths, differences in product, material and/or customization yield, etc. In the event that the Customer requests additional quantities of products in addition to those of the order, there may be any differences in color/final yield and models compared to the products subject to different orders.
With regard to personalization techniques, the Client acknowledges and accepts that:

- embroidery on products with light fabrics may have "puckering" of both the garment and the embroidery itself;

- screen printing on fabrics could have a "sublimation" effect where the dye of the garment changes the color of the customization.
The occurrence of these effects will therefore not be considered a defect in the product.
All customization processes are done manually, so it's possible that the locations of the customization differ from end to end.
Each order will be delivered approximately within the timeframe indicated by Customer Care, except for specific indications, force majeure, fortuitous events, holidays and holidays, inconvenient delivery locations, reduced time slots. In any case, delivery times are indicative and any deviations will not constitute a breach of a contractual obligation and will not give rise to any compensation.
Returns and order cancellations are not accepted for ordered personalised products, except in the case of defects as set out in the following paragraph.
In general, all customized products are guaranteed for 12 months against any manufacturing defect, unless otherwise stated.   The Customer must report any obvious defects (e.g. printing defects) to Lyreco within 48 hours of delivery of the customized products. Any requests relating to obvious defects received by Lyreco after this date will not be processed and accepted. Any hidden defects must be reported to Lyreco within 7 days of their discovery. Lyreco will carry out the relevant checks (including through images and/or videos) and will give feedback to the Customer. If returns are authorized pursuant to this article, the procedure set out in the "Returns" article will be followed.
Lyreco reserves the right to evaluate and apply specific payment conditions for each order of personalized products and require full or partial prepayment.
Personalized products do not benefit from the Home delivery service.
Should the Customer request Lyreco to modify a product with graphic signs, photographs, images, logos, layouts, works, texts, fonts, templates, or any other information (the "Content"), the Customer (i) authorizes Lyreco and any third party contractors and issues a temporary license to produce the customized products on its behalf and to store the Content provided by the Customer on the occasion of an order with the aim of possible subsequent use by the Customer Customer himself; and (ii) warrants to Lyreco that the custom products created do not infringe the rights of any third party.
By placing an order to purchase custom products, Customer warrants that it has all necessary permissions, rights, and authority to incorporate its Content or Third-Party Content with the Products and to place the order. The cost of any infringement of copyright, personal rights, intellectual property or the rights to use a name shall be borne solely by the Customer, who indemnifies Lyreco from all claims and claims arising from the infringement of such rights by third parties. The Customer will reimburse Lyreco for all costs and all further damages resulting from such actions.
Lyreco reserves the right to refuse purchase orders for personalised products containing words or images that Lyreco itself may deem inappropriate, offensive, immoral or illegal.

 

Recycling Solution Service

To access the Recycling Solution service:

(i)           the Customer must order the appropriate box or bag in the catalogue (electronic or paper);

(ii)         the Customer must book the collection of the box/bag by filling in the request form available online on the webshop in the Recycling Solution section;

(iii)        Lyreco, through dedicated companies, will take care of the collection and disposal of the box/bag, issuing the FIR;

(iv)        to use the service again, the Customer must order a new box/bag.

Please note: the box/bag must be tightly closed, respect the maximum weight indicated on the relevant page and contain only waste belonging to the EWC code specified on the box/bag itself.
If at the time of collection the capacity exceeds the maximum capacity specified on the product page of the box/bag, the collection will not be carried out and it will be necessary to purchase additional boxes/bags and book new collections or request a quote for the extra service; empty collections or for non-compliant content (excess weight, non-compliant waste) will be invoiced to the Customer by Lyreco on the basis of the costs incurred by the latter.
For all waste that does not fall within the EWC codes conveyed through boxes/bags or that cannot be included in the latter due to size and quantity, it is possible to request a collection service on estimate by contacting your reference seller.
Lyreco will not provide any information or advice regarding the obligations provided for by the law regarding waste management. 

Lyreco is registered in the Register of Environmental Managers (Albo Gestori Ambientali) as a waste intermediary without detention (Category 8), Authorization no. MI40708 and in the National Register for Waste Traceability (Registro Elettronico Nazionale per la Tracciabilità dei Rifiuti - RENTRI) and makes use of third-party companies duly authorized according to current legislation to carry out the service. 

In accordance with the provisions of the National Electronic Register for the Traceability of Waste (Registro Elettronico Nazionale per la Tracciabilità dei Rifiuti - RENTRI) pursuant to Legislative Decree 152/2006, the Customer is required to provide accurate and complete information when filling in the form for requesting the Recycling Solution Service. Any changes requested after the issuance of the Waste Identification Form (Formulario di Identificazione Rifiuti - FIR) will incur an additional administrative cost, which will be charged to the Customer and invoiced. Lyreco shall not be liable for any delay or inconvenience resulting from incomplete or incorrect information provided by the Customer.



Applicable law and jurisdiction

These General Conditions of Sale are governed by and construed in accordance with Italian law. The competence to judge any dispute that may arise between Lyreco and its Customers in relation to or as a consequence of the contractual relationship and therefore, by way of example but not limited to, regarding its effectiveness, validity, execution, interpretation, termination or termination, as well as any relationship inherent or connected to the same, and any related reason for giving and receiving,  will be up exclusively to the Civil Court of Milan.

 

Privacy

During the supply of the products, Lyreco, in its capacity as Data Controller, may process a series of personal data relating to employees, agents, consultants, or other natural persons of the Customer authorised to submit the purchase order to Lyreco, and may transmit certain personal data to third parties if necessary for the execution of the supply, as indicated in the information available on the website www.lyreco.it and in compliance with the applicable legislation on the protection of personal data and, in particular, with EU Regulation 2016/679 of the European Parliament and of the Council of 27 April 2016, Legislative Decree 196/2003 as amended, and with any guidelines, coordination rules and measures issued or issued by the Supervisory Authority - Guarantor for the Protection of Personal Data. Any questions and requests regarding the handling of personal data made by Lyreco can be sent to the e-mail address IT.privacy@lyreco.com.

 

These General Conditions of Sale supersede and replace any previous version of the products supplied (including products from any specific catalogues); any reference to Lyreco's catalogue shall be construed as an online catalogue and/or a printed catalogue, as the case may be – the online catalogue shall in any case always prevail. Lyreco reserves the right to amend these General Conditions of Sale at any time. To find out the up-to-date and current version of the General Conditions of Sale, please consult the relevant dedicated page on the www.lyreco.it website; the conditions published therein will in any case always prevail. In the event of a change to the same, the version on the website www.lyreco.it in force on the day on which the Customer submitted the purchase order  will be applicable.
